Articles of Incorportation

 

The undersigned hereby formed a nonprofit, nonstick corporation under the provisions of Chapter 273 of the Kentucky Revised Statues in 1977, and adopts the following Articles of Incorporation.

I.  NAME 1.1 The name of the corporation is Newburg Tennis Association INC.  and hereafter shall be addressed the "Association."

II.  DURATION, PRINCIPAL OFFICE, REGISTERED AGENT, REGISTERED OFFICE

2.1 The existence of the "Association" shall remain until otherwise provided by law.  The registered name and mailing address shall be, Gloria Johnson, Newburg Tennis Association INC., 5406 Regal Drive,  Louisville, KY 40218-4306.

III.  PURPOSES AND POWERS

3.1 The "Association" was organized to enhance the recreational, social, intellectual, emotional and academic growth of especially the youth in Newburg and surrounding communities under Section 501(c)(3) of the Internal
Revenue Code and Chapter 273 of the Kentucky Revised Statutes.

3.2 The "Association” shall carry out its purposes as described.

3.3 The "Association" shall promote the sport of tennis, offer annual tennis clinics and other opportunities for excellence    and growth in the complete development of all involved, cooperate with and support related facilities,  solicit  and receive gifts,  donations, grants,funds from public and private sources  to assist us in achieving our short and long range goals as set forth in the purposes.

3.4 No part of the net earnings of the "Association" shall be distributed to any  director, officer or other individual except reasonable compensation for  services rendered to or for the Association.

3.5 The "Association" shall have all powers set forth in Chapter 273 of the Kentucky Revised Statutes and otherwise not prohibited by law.

IV.  4.1 The  "Association" shall have members.

4.2 The initial Board of Directors shall consist of five (5) members.
